Terms of Service

1. Acceptance

By accessing or using Emitii ("the Service"), operated by Gurzu Inc. ("Gurzu", "we"), you agree to these Terms. If you use the Service for an organization, you represent that you are authorized to bind that organization.

2. The Service

Emitii is an AI-powered work assistant and communication platform. It lets organizations connect messaging channels, including WhatsApp Business, to receive, manage, and reply to customer conversations, with AI assistance such as suggested replies, summaries, and search.

3. Accounts and eligibility

You must provide accurate information, keep credentials secure, and be at least the minimum age in your jurisdiction. You are responsible for activity in your workspace.

4. Acceptable use

You agree not to use the Service to send spam or unsolicited messages, violate the WhatsApp Business Messaging Policy or Meta's platform terms, infringe others' rights, transmit unlawful or harmful content, or attempt to disrupt or reverse engineer the Service. You must obtain any consent required to message your customers.

5. Your data and responsibilities

Your workspace controls its customers' data and the purposes it is used for. You are responsible for having a lawful basis to process that data and for your own privacy obligations to your customers. Our handling of data is described in the Privacy Policy.

6. Third-party services

The Service integrates Meta/WhatsApp and third-party AI providers. Your use of connected channels is also subject to those providers' terms. We are not responsible for third-party services.

7. Fees

If the Service or a plan is paid, fees and billing terms are as presented at sign-up or in a separate order. Taxes are your responsibility unless stated otherwise.

8. Intellectual property

Gurzu retains all rights in the Service. You retain rights in your content. You grant us the limited rights needed to operate and provide the Service to you.

9. Disclaimers

The Service is provided "as is" without warranties of any kind. AI-generated content may be inaccurate; you are responsible for reviewing outputs before use.

10. Limitation of liability

To the maximum extent permitted by law, Gurzu is not liable for indirect, incidental, or consequential damages, and our total liability is limited to the amounts you paid for the Service in the 12 months before the claim.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or applicable policies. On termination, data is handled per the Privacy Policy and Data Deletion pages.

12. Changes

We may update these Terms and will revise the "Last updated" date. Continued use after changes means you accept them.

13. Governing law

These Terms are governed by the laws of Nepal, without regard to conflict-of-law rules.
